Management and structure of the InBev-Baillet Latour Fund
Responsible governance
As suggested by Alfred de Baillet Latour in his founding letter, the Fund has established good governance rules. Its Board of Directors is composed of an equal number of family members as shareholders of the brewery and independent members chosen for their competence in one of the areas of activities supported by the Fund. The Board is chaired by one of the independent members who is appointed for a renewable term of office of three years. The Board meets at least three times per year to monitor the effective operation of the Fund. In addition to these three meetings, different management and steering committees are organised around a specific partnership, which are made up of members of the Fund and representatives of the partner institute or association. For while the Foundation cannot claim to be an expert in each of the areas in which it invests, it nevertheless wishes to monitor the utilisation of the funds that it awards each year. The Fund is managed by a general secretary and an administrative assistant. Financially speaking, the Fund has only one source of revenue: the dividends of the shares that it holds in the Artois Breweries (today AB InBev), i.e. the starting assets bequeathed to it by its founder. These assets each year generate significant earnings, so the Fund does not need to worry about finding external funds and can instead devote its energy to the proper utilisation of its funds. The Foundation's management expenses can thus be kept below 15% of its revenue.
